01About these terms

DOCAXO is operated by Van Melsen Marketing B.V. (“DOCAXO”, “we”, “us”), a private limited company established in the Netherlands.

“You” means the person or organisation using the service. If you use DOCAXO on behalf of a company, you confirm that you are authorised to bind it, and “you” includes that company. “Consumer” means a natural person acting outside a trade, business or profession; where these terms give consumers different treatment, that treatment applies only to consumers.

These terms incorporate our Privacy Policy, the limits stated on each tool page and the pricing page, and — for API users — the API documentation. If these documents conflict, these terms prevail.

02The service

DOCAXO is a document-processing service with four parts:

• Browser editor. Editing text blocks, filling forms, drawing, highlighting, simple electronic signatures and page operations, running locally in your browser without uploading the file.
• Server tools. OCR on our own GPU hardware, compression, conversion, merge and split, protection and true redaction, run as jobs on our servers in the Netherlands.
• Encrypted cloud storage. Optional saving of files to your account, encrypted per file with AES-256-GCM envelope encryption.
• Public API. Programmatic access to the server tools with API keys, metered per page.

We describe honestly what each tool can and cannot do. In particular: edited text is re-typeset with standard fonts, not your document’s embedded fonts; PDF-to-Word and other conversions are best-effort approximations; and signatures are simple electronic signatures in the sense of the eIDAS Regulation, not advanced or qualified signatures. Read the tool pages before relying on an output for anything important.

03Accounts and eligibility

• Anonymous use. You may use the editor and a daily allowance of server tools without an account. Anonymous files are tied to your browser session and deleted after two hours.
• Eligibility. You must be at least 16 years old and able to enter a binding contract. If you are under 18, a parent or guardian must agree to these terms for you.
• Accurate information. Give a real email address you control. Temporary or disposable addresses are not accepted. You must verify your email before downloading processed files; unverified accounts can still edit and upload.
• One account per person. Do not create multiple accounts to circumvent Free-plan limits. We may merge or close duplicate accounts.
• Security. You are responsible for keeping your password, sessions and API keys confidential and for everything done through your account. Tell us at once at [email protected] if you suspect unauthorised use; you can revoke sessions and keys yourself from the account page.
• Sign-in providers. If you use Google or Apple sign-in, their terms govern that sign-in. We only receive the identifier and email address they share.

04Acceptable use

You may use DOCAXO for any lawful purpose, personal or commercial. You may not:

• upload, store, process or share content that is illegal under Dutch or EU law or the law that applies to you, including child sexual abuse material, content that infringes copyright or other rights, malware, or documents you have no right to process;
• use the service to violate someone else’s privacy, for example by OCR-ing or redacting documents you are not entitled to handle, or by extracting personal data at scale without a lawful basis;
• abuse the OCR or other server tools — for example by automating the web interface, splitting files to dodge page limits or credits, creating many accounts, or sharing a Pro account or API key among organisations;
• interfere with the service: probing or bypassing security or rate limits, scraping, reverse engineering the server side, or placing an unreasonable load on our infrastructure;
• use DOCAXO to forge documents or signatures, or to remove protection or redactions from documents you are not authorised to alter;
• resell or white-label the service without a written agreement with us.

Free and Pro plans are for “fair use” editing as described on the pricing page. If your usage pattern looks automated or far beyond what a person editing documents produces, we may throttle it or ask you to move to the API plan.

We may suspend or remove content and accounts that breach this section, and we will report illegal content to the competent authorities where required by law. We do not proactively scan the contents of your documents.

05Plans, billing and refunds

Merchant of record

Paid plans are sold through Stripe Managed Payments. Stripe Payments Europe, Ltd. is the merchant of record: Stripe is the seller on your invoice, collects payment, calculates and remits VAT in your country, and issues invoices and credit notes. Stripe’s terms for buyers apply to the purchase itself; these terms govern your use of the service you bought. Displayed prices include Dutch VAT (21%); EU business customers who enter a valid VAT id at checkout are invoiced with reverse charge.

Plans

Renewal and cancellation

Subscriptions renew automatically at the end of each period until cancelled. Cancel at any time from Billing → customer portal; the plan stays active until the end of the period already paid for and is not renewed. We do not give partial refunds for the remainder of a cancelled period, except where the law requires it.

Credits and limits

Heavy credits (OCR, conversion, compression, redaction) are included per month, reset at the start of each billing period and do not roll over. Credits are reserved when a job starts and settled to the pages actually processed; failed and cancelled jobs release their reservation. Per-job page caps and other limits are shown on the pricing and tool pages.

Right of withdrawal and refunds

If you are a consumer in the EU you have a 14-day right to withdraw from a distance purchase. Because DOCAXO is a digital service that starts immediately, at checkout you ask us to begin performance during the withdrawal period. If you withdraw within 14 days you receive a refund proportional to the part of the period not yet used; a Day Pass that has been used to process files is considered fully performed and is not refundable. Withdrawal is exercised by emailing [email protected] with the account email and invoice number; Stripe processes the refund to the original payment method.

Beyond that right, we refund in full if a paid feature did not work for you and we could not fix it within a reasonable time. Contact us before disputing a charge with your bank; a chargeback on a valid charge may lead to suspension.

Price changes and failed payments

We may change prices with at least 30 days’ notice by email; the new price applies from your next renewal and you can cancel before then. If a renewal payment fails, Stripe retries it for a limited time; if it still fails, the subscription is cancelled and the account reverts to Free.

06Your content and licence

You keep ownership. Documents you upload, edit, save or process (“your content”) remain yours, together with all intellectual property rights in them. We claim no ownership.

Limited licence to us. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, encrypt, transmit, render, convert, OCR and otherwise process your content solely to the extent needed to provide the service you request, to keep it secure, and to comply with the law. This licence ends when the content is deleted from our systems, subject to the retention periods in the Privacy Policy. We do not use your content to train models, for advertising, or for any purpose of our own.

Your responsibilities. You confirm that you have the rights and, where personal data of others is involved, the lawful basis needed to process your content with DOCAXO. Where your documents contain personal data of third parties and you are a business, we process that data as your processor on your instruction; the Privacy Policy’s sections on subprocessors, security and retention form the data processing terms between us. Email us if you need a signed data processing agreement.

Share links. If you create a share link, anyone holding the link can view the file until you revoke it. Treat share links as confidential.

Feedback. Suggestions you send us about DOCAXO may be used without obligation to you.

07API terms

• Keys. API keys are issued per account and shown once. You are responsible for storing them securely, scoping them narrowly and rotating them if exposed. Do not embed live keys in client-side code.
• Sandbox and live. Sandbox keys (dxk_test_) work on every plan and never bill; live keys (dxk_live_) require the API Starter plan and process and bill for real.
• Rate limits and concurrency. Each key is subject to the request-per-minute and concurrent job limits documented at API docs → Rate limits. Requests over the limit receive 429; deliberately working around limits is a breach of these terms.
• Credits and overage. Live jobs reserve page credits when accepted and settle to the pages processed. Once included credits are used, pages are billed as overage at the published rate on your next invoice unless you set a spending cap. You are responsible for all usage under your keys.
• Data lifecycle. API files and results are inputs, not storage: they expire after the period shown on the file object (currently two hours). Fetch results promptly.
• Compatibility. We version the API and aim to keep /api/v1 backward compatible. Additive changes (new fields, new operations, new error codes) may happen at any time. Breaking changes are announced by email at least 90 days ahead where practicable.
• Webhooks. You must verify webhook signatures and tolerate retries and duplicate deliveries. Endpoints that fail repeatedly are disabled automatically.
• Applications. If you build a product on the API, you remain responsible to your own users, must not present DOCAXO as your own infrastructure in a misleading way, and must comply with the acceptable use section for all content passed through your keys.

08Availability and support

We work hard to keep DOCAXO running, but we provide it as is and without a service-level agreement. We do not guarantee uninterrupted availability, a particular processing speed, or that any tool will produce a specific result for a specific document. Planned maintenance is announced where possible; unplanned outages are fixed as quickly as we can.

Support is provided by email on a best-effort basis. Consumers keep all statutory conformity rights under Dutch and EU law (Book 7 of the Dutch Civil Code, Directive 2019/770); nothing here reduces them.

We may change, add or remove features. If we discontinue a paid feature you rely on before the end of a paid period, you may cancel and receive a proportional refund for the remainder.

09Our intellectual property

The DOCAXO software, website, design, name and logo are owned by Van Melsen Marketing B.V. or its licensors and protected by intellectual property law. We grant you a personal, non-transferable, revocable licence to use the service according to these terms. You may not copy, modify, distribute or create derivative works of the service or its content, except for the output you create from your own documents, which is yours.

Open-source components used in DOCAXO are licensed under their own terms, which are not affected by these terms.

10Liability

Cap. To the extent permitted by Dutch law, our total liability to you for all claims arising out of or relating to the service in any 12-month period is limited to the total fees you paid to us (via Stripe) for the service in the 12 months before the event giving rise to the claim. For Free-plan users this means our liability is limited to the amount you paid, which is nothing, except as set out below.

Excluded damages. We are not liable for indirect or consequential loss, lost profits, lost business, loss of data that you could reasonably have backed up, or damage caused by content or actions of third parties, by your breach of these terms, or by reliance on a tool output without checking it (for example an OCR misread, a conversion that lost layout, or a redaction you did not verify).

What we do not exclude. Nothing in these terms limits liability for death or personal injury caused by our negligence, for intent or deliberate recklessness (opzet of bewuste roekeloosheid) of our management, or for anything that cannot be excluded under mandatory law — including consumers’ statutory rights.

Your indemnity. If you are a business user, you will compensate us for third-party claims, fines and reasonable costs that result from your content or your breach of the acceptable use section.

Keep your own copies. DOCAXO is not a backup service. Keep original documents; we are not responsible for files deleted under the automatic lifecycle rules described in these terms and the Privacy Policy.

11Termination

By you. Delete your account at any time from the account page. Sessions and API keys are revoked immediately; files and account data are permanently erased after a 30-day grace period, during which you can ask us to cancel the deletion. Cancelling a subscription does not delete your account; deleting your account cancels your subscription at the end of the current period.

By us. We may suspend or terminate your access, with notice where reasonable, if you materially breach these terms, if we are required to by law, if your account is used for abuse, or if a paid plan remains unpaid after retries. For breaches that are curable we will normally warn you first. If we terminate a paid plan for reasons other than your breach, we refund the unused part of the period.

Effect. After termination you may export your data during the grace period unless we have suspended access for serious abuse. Sections on content licence (for data still retained), liability, governing law and any payment obligations survive termination.

12Governing law and disputes

These terms and any dispute arising from them or from your use of DOCAXO are governed by the laws of the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Disputes are submitted to the competent court in Amsterdam, the Netherlands. If you are a consumer, you may also bring proceedings in the courts of the EU member state where you live, and you keep the protection of mandatory consumer law of that state.

Before going to court, please email [email protected]; most problems are resolved within a few days.

13Changes to these terms

We may update these terms when the service, the law or our business changes. The date at the top shows the current version. For material changes we notify account holders by email at least 30 days before they take effect; if you do not agree, cancel or delete your account before that date and — for paid plans — you receive a proportional refund of the remainder. Minor clarifications and changes required by law may take effect sooner. Continued use after the effective date means you accept the new version.
